Please read these terms and conditions carefully before using the website.  You agree to act within the letter, as well as the spirit, of the terms and conditions. These terms and conditions set out the entire understanding and agreement between the parties with respect to the subject matter hereof.

By using the website, you agree to be bound by these terms and conditions. This constitutes a contract between you and us.  If you do not agree to all of the provisions contained in these terms and conditions, do not use the website.  If you use or continue to use the website and/or services provided by the website, you acknowledge and agree that you accept to abide by and be bound by the terms and conditions. You are responsible for ensuring that all persons who access our site through your internet connection are aware of these terms, and that they comply with them.

You agree to use the website only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit, anyone else's use and enjoyment of the website.  Users agree to only use the website for legal purposes.  Users will not engage in misleading or deceptive marketing practices.

In these terms and conditions the following terms have the following meanings:

“Auditor” means a person or company that has applied to become an auditor on the website, whether they have been approved or not.

“Auditee” means a person or company that has posted a job on the website.

“Us”, “we”, “our”, “ours” or “Audit Connection” means Mcdav Holdings Pty Ltd (ACN 138 663 000) as trustee for the Mcdav Family Trust, trading as Audit Connection, including our directors, agents, contractors, affiliates, parents, subsidiaries, and employees).

“You” means an auditor, and auditee, or any other user of the website

"Website" means the website operated by us at www.auditconnect.com.au or on any affiliate website and all the pages, content and sub-domains contained therein, as well as any email address from the website domain.

The singular includes the plural and vice-versa.  A reference to a person includes any corporation or body corporate.

Any and all terms and conditions that govern your use of the website may be amended by us from time to time by posting those changes to the website without any notice to you, which will apply to your next usage of the website. It is your responsibility to ensure that you regularly review the website and these terms and conditions. Your continued use of the website after any such changes are made will be deemed to constitute your acceptance of those changes.  You agree that we have the right to change any features and privileges of the website.

Our failure to take action with respect to a breach by a user or others does not waive our right to take action with respect to subsequent or similar breaches.

If you disagree with any of the terms and conditions (or any subsequent changes), or become unhappy with your use of the website, your only remedy is to immediately stop using the website and any services offered.

Emails sent by the website, through the website, or by one of our agents are considered a part of the website.

Your use of the website is at your own risk. You are responsible for taking all precautions you believe are necessary to protect yourself against any claim, damage, or loss that may occur due to your use of the website. 

All users agree that any use of profanity, libellous behaviour, illegal activity, or any other form of abuse on any part of the website may mean the user is banned from further use and reported to the authorities, if applicable.

Whilst using the website you must not violate any laws in your jurisdiction (including, but not limited to, copyright laws).

You must not misuse our site by knowingly introducing viruses, trojans, worms, or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our website, the server on which our site is stored or any server, computer or database connected to our website.

You acknowledge that we may establish limits concerning use of the website we believe is reasonable, at our absolute discretion.

If hyperlinks and other redirection tools taking the user to other websites operated by third parties appear on the website, you acknowledge that these websites are not controlled by us and do not form part the website.

We own all the intellectual property rights relating to the site, including the designs, text, database, graphics and layouts, and you agree not use or copy any part thereof without our express permission.

Any information, content or opinions published on the website are provided for information purposes only. They are not intended as, nor do they constitute accounting or any other technical or expert advice, or are to be in any way relied upon by you without undertaking your own independent verification. As a user of the website, you should make your own inquiries and obtain independent advice based on your specific circumstances prior to making any decisions.

We do not accept and are, by these terms and conditions, released by you of any liability to you arising (whether directly or indirectly) out of the information provided on the website or anyone else through the website or any errors in, or omissions from information on the website.  You indemnify us for any loss or damage or costs arising (whether directly or indirectly) out of any breach of the terms and conditions or any other legal obligation by you or your use of, or conduct on, the website.

You agree that we have no responsibility or liability for the deletion or failure to store any content maintained or transmitted by the website. We reserve the right at any time to modify or discontinue the website (or any part thereof) with or without notice, and we shall not be liable in any way.

You agree that we shall not be liable for any loss or damages arising from the provision (or non-provision) of any part of the service, including loss of profit or consequential loss or damage.

We do not make any warranty or representation that any user is reputable, or will act in good faith, or according to their terms of engagement.  Additionally we do not make any warranty or representation that any information on the website will be complete, reliable or accurate; or that your access to the website will be secure, available or uninterrupted.  You acknowledge that we do not pre-screen all content provided to any parties.

You warrant that all data provided by you is accurate.

We are a neutral facilitator and not involved in the actual transaction between the entities and the auditors who contract their services after being introduced via the website.  We do not provide billing, money collection, reconciliation, accounting or any other services for auditors or auditees.  Our relationship with you under these terms and conditions is one of independent contractors and not of partnership, joint venture or principal and agent.

We have no control over the accuracy of any posting, nor the ability of the auditors to provide the services they state they can perform.  We cannot and do not guarantee that an auditee or auditor will complete a transaction or act lawfully in using the website.  You acknowledge and release us in the event that you deal with underage persons or people acting under false pretense.

In the event that you have a dispute with one or more users of the website, you release us from claims, demands and damages of every kind and nature arising (whether directly or indirectly) out of such dispute.

You indemnify and release us from and against any claims, demands, proceedings, losses and damages of every kind and nature including reasonable solicitor's fees, made by you or any third party due to or arising (whether directly or indirectly) out of your breach of these terms and conditions or your violation of and law or the rights of a third party.

You agree that we will not be held responsible or liable for any loss or damage of any sort incurred as the result of any dealings between users. If there is a dispute between users on this website or any third party, and you agree that we are under no obligation to become involved.  In addition, you hereby release us from any and all claims, demands and damages (actual and consequential), arising out of, or in any way related to, such disputes and/or our website and services.

We reserve the right to modify or delete any general information you submit to the website in order to enhance the services we provide to you and other website users, or for any other reason.

To become an auditee or auditor of the website, you will nominate an email address, which must be a valid email address.  You are entirely responsible for all activities that occur under your username.  You must notify us immediately if you become aware of any unauthorised use of your email address.

We reserve the right to record phone calls between you and us for any legal purpose.

Users of the website may have their access to the website removed and be prohibited from using the services of the website for any breach of the terms and conditions.  This includes (but is not limited to) providing false or inaccurate information whilst: posting a job; registering as an auditor; or whilst communicating information to us. 

Any information provided to us using the website (including emails to us) automatically grants us a licence to use the information for the purpose for which it is provided.

If any clause or provision (under either present or future law) of these terms and conditions is determined to be illegal, invalid or unenforceable or capable of termination by a party, then such clause or provision will be construed to render the clause or provision enforceable. If no practicable interpretation would save such clause or provision, it will be severed from the remainder of these terms and conditions without affecting the enforceability of all remaining clauses and provisions.  Any clauses capable of surviving termination of these terms and conditions shall do so.

If any contact details of an auditee given to an auditor are incomplete or inaccurate and do not enable the auditor to contact the auditee, the auditor must notify us immediately and we will endeavour to confirm the contact details of the auditee.

Auditors agree to pay us a referral fee each time you request we provide you the expanded details of the auditees that have posted a job to the website after you have reviewed the summary of the job as provided by the auditee.  We reserve the right to change the price of the referral fee at any time.  You agree you are responsible for paying our invoices within the payment terms of the invoice. If your account has an invoice which is more than 7 days overdue, your account will be automatically restricted.  Amounts due will only be accepted by bank transfer.  You agree to receive all invoices by email to the email address you have given to us. It is your responsibility to ensure that this email address is working correctly.  If you have a questions or issues about an amount charged, you agree to contact us using the form available on our Contact page.  Should any payment method you use fail or is later reclaimed by the bank or card issuer, you agree to pay any costs incurred by us.

Auditors agree to pay the referral fee whether or not you win the work. Refunds will not be given. We cannot influence the outcome of any particular job and do not guarantee that auditors will secure work from the jobs that are posted.  Auditors agree that payments due under these terms and conditions will not be deemed to have been received until all amounts payable are received as cleared funds into our bank account.

We may use market research to monitor traffic to and across our website. This technology involves inserting special scripting in the code of each web page. This code is downloaded by you when you visit each page and then sends information about your use of the page.  We reserve the right to collect technical data about the type of browser software or operating system you are using for the purposes of tracking site use, or improving the service offered through our website.  Information collected using this technology does not identify you personally. 

We may also place a 'cookie' on your hard drive to make help us identify you when you return to the website.  You can remove 'cookies' from your computer at any time, and choose to disable 'cookies' in your internet browser settings. 

We retain the absolute right and discretion, without dispute, to determine which auditors will be registered with us.

Auditees should satisfy themselves as to the competence, insurances, and licensing of any auditor they decide to hire as a result of a connection made through our services, and should obtain confirmation of any information they believe will be required in their situation.  It is up to the auditee to properly scrutinise any auditor prior to hiring them, as they would in the normal course of business.  We will be in no way liable for any damages whatsoever as a result of losses caused to you by an auditor that you retain as a consequence of using our website. 

You may stop using our services at any time but you will still remain liable for any obligations accrued to that point.

We may your e-mail address to keep you informed of maintenance issues, or issues, or for any other legal reason.

You understand that all postings or other materials posted on, transmitted through, or linked from the website, are the sole responsibility of the person from whom such content originated. You are entirely responsible for all content that you make available via the website.

You agree that we (in our sole discretion), have the right (but not the obligation) to deactivate your account, block your email address, or otherwise terminate or restrict your access to or use of the website, immediately and without notice, for any reason, and without liability to you or any third-party. Further, you agree not to attempt to use the website after said termination.  If this occurs you are will no longer be authorised to access the website and will not attempt to access the website. You will continue to be subject to and bound by all restrictions imposed on you by the terms and conditions.

We recognise and respect the importance of protecting the privacy of visitors to our website.  We must collect, hold and maintain certain personal details when you post a job with us or signup as an auditor, in order to provide the services available through our website. This may include various information that you are requested to provide to us, including relevant business details.

By posting a job with us or signing up as an auditor, you consent to us contacting you, through any method you have provided to us, with information relating to the services on our website.

We will not share, trade or sell your information to any company or parties other than those directly connected with the appropriate use within the website, except when you give us explicit permission and we give you an opportunity to opt out of having your personal information shared.  It is your responsibility to ensure your details are kept current by contacting us to let us know of any changes in your details.

Any or all details of the information provided when posting a job may be provided to the some or all of the auditors who have signed up on the website.  Auditors agree that their contact details may be shared with any person who has posted a job. 

We do not publicly display any contact details or other sensitive information on our site.

You have the right to seek access to the personal information we hold about you and to advise us of any inaccuracy. There are some exceptions to this right set out in the Privacy Act.  If you make an access request, we will ask you to verify your identity and specify what information you require. We may charge you a fee to cover the costs of meeting your request.

Any controversy or claim arising out of, or in connection with, these terms and conditions may at our discretion be settled by binding arbitration through a commercial dispute resolution centre selected by us. You agree to be bound by the ruling arbitrator. The costs of the dispute are borne by the originator of the dispute.  Except for the purpose of obtaining urgent interlocutory or declaratory relief from a court of competent jurisdiction, you shall not commence any proceedings in any court, tribunals or otherwise without first going through a commercial dispute resolution centre for binding arbitration.

This Agreement shall be governed in all respects by the laws of the State of Western Australia, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of Western Australia, Australia and to the Federal Court of Australia sitting in Western Australia.
